By accessing and using Tugni's WhatsApp Business chatbot platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.
Description of Service
Tugni provides a WhatsApp Business API chatbot platform that enables businesses to automate customer responses and manage communications. Our platform responds to incoming messages but does not initiate conversations with your customers.
Permitted Uses
- Business communication automation and customer support
- Responding to customer inquiries and providing information
- Order notifications and transaction updates
- Appointment reminders and scheduling confirmations
- Customer service responses
Prohibited Uses
You agree not to use our Service for any of the following prohibited activities:
- Spam or unsolicited mass messaging
- Sending messages to users who haven't opted in or initiated contact
- Sharing illegal, harmful, offensive, or inappropriate content
- Phishing, fraud, or deceptive practices
- Violating WhatsApp Business API policies and guidelines
- Harassment, abuse, or threatening behavior
- Sharing copyrighted content without proper authorization
- Using the platform for illegal activities
- Attempting to hack, disrupt, or compromise our systems
- Reselling or white-labeling our service without written permission
Account Registration and Security
You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
Service Availability and Support
Uptime and Availability
- We aim to provide 99.5% service uptime
- Scheduled maintenance may be performed with 24-48 hours advance notice
- Emergency maintenance may occur without prior notice
- Uptime calculations exclude scheduled maintenance and third-party service outages
Message Delivery
We provide "best effort" message delivery. Message delivery depends on WhatsApp's infrastructure and policies, which are beyond our control. We do not guarantee message delivery and are not liable for failed or delayed messages.

- Help documentation and FAQ resources available on our platform
- No phone support is currently provided
Third-Party Dependencies
Our service depends on WhatsApp Business API and other third-party services. We are not responsible for outages, policy changes, or service interruptions caused by these third-party providers.
Payment Terms
Subscription Plans
We offer monthly and annual subscription plans. All fees are due in advance and are non-refundable except as specified in our Refund Policy.
Payment Methods
We accept payments via PayPal, including credit and debit cards processed through PayPal.
Failed Payments
If payment fails, your account may be suspended until payment is resolved. We will attempt to contact you regarding failed payments. Accounts with failed payments for more than 30 days may be terminated.
Cancellation
You may cancel your subscription at any time. Service will continue until the end of your current billing period. There are no cancellation fees.
Intellectual Property Rights
Your Content
You retain full ownership of your business data, conversations, and content created through our platform. You grant us a limited license to process and store your content solely to provide our services.
Our Platform
Tugni owns all rights to our platform software, technology, and intellectual property. You may not copy, modify, reverse engineer, or create derivative works of our platform.
Trademarks
You may not use Tugni's name, logos, or trademarks without our written permission.
Content Responsibility
You are solely responsible for the content of your automated messages and communications. You agree to defend and hold us harmless from any claims arising from your content or use of our service.
Account Termination
Termination by Tugni
We may terminate your account in the following circumstances:
- Immediate termination for policy violations, spam, or illegal activities
- 30-day notice for non-critical violations with opportunity to remedy
- 7-day notice for repeated violations
- Immediate termination for non-payment after 30 days
Termination by You
You may cancel your account at any time with immediate effect. Service will continue until the end of your current billing period.
Effect of Termination
Upon termination, your access to the service will cease, and your data will be handled according to our Privacy Policy. You may export your data before termination.
Disclaimers and Limitation of Liability
Service Disclaimers
Our service is provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
Our total liability to you for any damages shall not exceed the amount you paid to us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including business losses or interruptions.
Force Majeure
We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, government actions, or third-party service failures.
Dispute Resolution
Informal Resolution
Before pursuing formal dispute resolution, you agree to contact us to attempt to resolve any disputes informally within 30 days.
Governing Law
These Terms are governed by the laws of the jurisdiction where Tugni is incorporated, without regard to conflict of law principles.
Legal Proceedings
Small claims court actions are permitted. For larger disputes, binding arbitration may be required as specified in our dispute resolution procedures.
Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email 30 days in advance. Your continued use of our service after changes take effect constitutes acceptance of the updated Terms.
If you disagree with any changes, you may cancel your account before the changes take effect.
